1. Introduction & Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Client," "you") and Core Axispoint Consulting ("Core Axispoint," "we," "us," or "our"), with our principal office located at Weihao Lin, No.91, Sec 4, Sanhe Rd, Sanchong District, New Taipei City, 241.

By accessing our website (core-axispoint.click), requesting an architecture diagnostic intake, or entering into a Statement of Work (SOW) for programming consulting or software architecture review services, you agree to be bound by these Terms.

2. Consulting Services & Scope of Work

Core Axispoint provides independent software architecture reviews, codebase diagnostic audits, concurrency triage, domain boundary restructuring, and technical advisory services. The specific scope, deliverables, timelines, and fees for any engagement will be set forth in a formal written Statement of Work (SOW) or diagnostic agreement executed by both parties.

Our services are advisory and diagnostic in nature. While our recommendations are grounded in AST analysis, profiling logs, and industry-standard engineering practices, the Client retains final discretion and responsibility for any code modifications, deployments, or architectural changes implemented in their own systems.

3. Intellectual Property Rights

Client Code & Proprietary Data: The Client retains all right, title, and interest in and to their proprietary software, source code, data repositories, and architectural assets provided to Core Axispoint for review purposes. Core Axispoint claims no ownership over Client codebases.

Deliverables: Upon receipt of full payment under the applicable SOW, the Client is granted a perpetual, irrevocable, worldwide license to use, reproduce, modify, and distribute the custom architectural reports, AST dependency maps, and remediation blueprints prepared specifically for the Client.

Pre-Existing Methodologies: Core Axispoint retains all ownership of its proprietary diagnostic frameworks, custom static analysis scripts, tooling, templates, and general know-how developed prior to or independently of the engagement.

4. Confidentiality & Non-Disclosure

Both parties agree to treat all non-public technical, architectural, business, and financial information disclosed during the engagement as strictly confidential. Core Axispoint will not disclose your source code, system vulnerabilities, or diagnostic findings to any third party without your prior written authorization.

5. Client Responsibilities

To facilitate an effective architecture review, the Client agrees to:

• Provide timely, read-only access to necessary repositories, schema definitions, and telemetry data as outlined in the SOW;
• Designate a qualified technical lead or architect for scheduled intake interviews and debrief workshops;
• Ensure that all data provided does not contain unencrypted production customer personal data (PII) or secrets.

6. Limitation of Liability

To the maximum extent permitted by applicable law in Taiwan, in no event shall Core Axispoint Consulting, its principal consultant, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, business interruption, or system downtime arising out of or in connection with our consulting advice or website use.

Core Axispoint's total aggregate liability arising out of or related to any engagement shall be limited to the total fees actually paid by the Client to Core Axispoint under the specific Statement of Work giving rise to the claim.

7. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or our consulting services shall be governed by and construed in accordance with the laws of Taiwan (Republic of China). The parties agree to submit to the exclusive jurisdiction of the Taiwan New Taipei District Court for the resolution of any legal proceedings.
